Foundation Statute

§ 1

1. The foundation named "Fundacja NeuroRozwój Plus", hereinafter referred to as the "Foundation", established by notarial deed, operates pursuant to the provisions of the Polish Act of 6 April 1984 on Foundations and this Statute.
2. The Foundation holds full legal personality.
3. The duration of the Foundation is indefinite.

§ 2

1. The registered office of the Foundation is Kielce (ul. Karola Olszewskiego 6, 25-663 Kielce, Poland).
2. The territory of the Foundation's activities is the Republic of Poland, whereas to the extent necessary for proper execution of its statutory goals, it may also operate internationally (cooperating with EU entities within cross-border research grants and the c4c network).

§ 3

The statutory objectives of the Foundation include:

1. Comprehensive diagnostic and therapeutic support for children and adolescents with neurodevelopmental differences (including ASD, ADHD, SPD) and co-occurring conditions.
2. Scientific research and technological development in the application of artificial intelligence, VR, biofeedback, and high-density qEEG in pediatrics, psychiatry, and psychology.
3. Early preventive screening and cognitive assessment in school and family environments.
4. Educational outreach, family empowerment in the spirit of neurodiversity, and promotion of Open Science.

§ 4

The Foundation accomplishes its objectives through:

1. Designing and deploying innovative AI-assisted diagnostic tools and Class IIa SaMD medical software.
2. Organizing standardized developmental screening campaigns in educational institutions adhering to GDPR and parental consent standards.
3. Maintaining an open pediatric brain atlas and secure telemedicine consultation platform.
4. Collaborating with domestic and international academic medical centers.
5. Implementing and enforcing the Polish Child Protection Standards (Ustawa Kamilka) across all operational touchpoints.

§ 5

The Foundation's assets comprise the founding fund of PLN 2,000 and other assets acquired in the course of its operations.

1. Of the founding fund, PLN 1,000 is earmarked for business activities.

§ 6

The Foundation's revenues may originate from:

1. Donations, inheritances, bequests, and 1.5% personal income tax allocations (KRS: 0001253490).
2. Perpetual 3% revenue allocations from commercial software ventures within the MGWP GROUP ecosystem under the strategic philanthropic mecenat agreement.
3. Public and European research grants and subsidies (including FEPW, FERS, and Horizon Europe).
4. Public fundraising campaigns and dedicated corporate contributions (Koło Dobroci / CSR).
5. Ancillary economic activities (where 100% of net proceeds are dedicated exclusively to statutory healthcare objectives).
6. Fee-based public benefit activities.

§ 7

1. The Foundation may conduct economic activities to the extent necessary to support its statutory mission.
2. All profits generated from economic activities are reinvested entirely into statutory healthcare and clinical R&D goals.
3. The scope of economic activity includes (according to PKD classification):
   • 62.01.Z – Software development activities (Creation of diagnostic AI software, therapeutic games).
   • 63.11.Z – Data processing, hosting and related platform activities.
   • 72.19.Z – Other research and experimental development on natural sciences and engineering.
   • 85.59.B – Other education not elsewhere classified (Clinical workshops and professional trainings).
   • 86.90.E – Other human health activities (Supportive therapies and neurocognitive rehabilitation).

§ 8

The governing bodies of the Foundation are:

1. The Management Board (Two-member Board: President of the Board - Bogusz Hącia, Board Member - Anna Rajczyk-Hącia, directing daily operations and legally representing the entity).
2. The Foundation Council (Supervisory and advisory body: Karolina Woszek, Radosław Zasiadczyk).

§ 9

To effectively achieve its objectives, the Foundation may merge with another non-profit foundation.

This Statute entered into force upon the date of official entry into the Polish National Court Register (KRS: 0001253490).
